COMMERCIAL LICENSE AGREEMENT

 

This Commercial License Agreement ("Agreement") is entered into by and between HARIS BUILD - COMPANY. ("Licensor") and the purchaser ("Licensee") of digital brushes for Procreate application compatible with iPad & iPad Pro ("Product").

  1. Grant of License. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the Product solely for the purpose of creating tattoos and artistic creations resold at less than 100 copies.

  2. Restrictions on Use. Licensee shall not resell or distribute the Product, or create other Procreate Brushes with the Product. Licensee shall not use the Product for any unlawful purpose, or in any way that violates any applicable law, regulation or ordinance.

  3. Copyright Ownership. Licensor retains all right, title, and interest in and to the Product, including all copyrights and other intellectual property rights. Licensee shall not reproduce, copy, or modify the Product, or use any part of the Product, except as expressly permitted in this Agreement.

  4. Termination. This Agreement shall terminate automatically if Licensee breaches any term or condition of this Agreement. Upon termination, Licensee shall immediately cease all use of the Product and delete or destroy all copies of the Product.

  5. Disclaimer of Warranties. Licensor makes no warranties, express or implied, regarding the Product, including without limitation, any implied warranties of merchantability or fitness for a particular purpose.

  6. Limitation of Liability. In no event shall Licensor be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or the use of the Product.

  7. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is located, without regard to its conflict of laws principles.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date of purchase of the Product.
